NEW YORK, August 13, 2026 – Proskauer advised Monogram Capital Partners ("Monogram") on the closing of a single-asset continuation vehicle for Mountaintop Beverage ("Mountaintop"), a scaled manufacturer of low-acid aseptic and extended-shelf-life (ESL) beverages. The transaction transfers Mountaintop from Monogram’s Fund II into a newly formed continuation vehicle led by Apollo S3.
Monogram is a Los Angeles-based private equity firm investing in family-held and founder-led consumer and service businesses. The transaction returns a meaningful majority of Fund II’s capital to investors while providing Mountaintop with committed capital and an extended investment horizon to support a nearly 600,000-square-foot manufacturing footprint, additional capacity expansion, and strategic M&A.
The Proskauer team was led by partners Chris Robinson and Galen Lewis and senior counsel Nicholas McCoy (Private Funds). It also included associates Sandile Magagula, Serge Charles, and Carol Wu (Private Funds); partner Kris Herrmann and associates Jack Morant, Robert Chiu, and Samantha Volpe (Private Equity Transactions/M&A); partner Jeremy Naylor, senior counsel Bowon Koh, and associates Julia Sullivan and Maggie Livingstone (Tax); and partners Nathan Schuur and Robert Sutton (Regulatory).
