Nicholas McCoy

Nick McCoy is a senior counsel in the Corporate Department and a member of the Private Funds Group.

Nick focuses his practice on representing leading private fund sponsors, institutional investors and other market participants in complex secondary transactions and liquidity solutions. He advises clients across the full spectrum of secondaries transactions, including GP-led continuation fund transactions, single-asset and multi-asset continuation vehicles, traditional portfolio sales and purchases of fund interests, tender offers, stapled secondary transactions, fund recapitalizations and restructurings, structured secondary transactions and preferred equity financings.

Nick brings deep experience and commercial judgment to sophisticated transactions involving private equity, real estate, infrastructure, growth equity, special situations and other alternative investment strategies. He works closely with clients to structure and execute transactions that address a wide range of strategic objectives, including generating liquidity for limited partners, extending ownership of high-performing assets, raising follow-on capital, managing fund-life and portfolio-level considerations, optimizing capital structures and facilitating investor access to attractive private market opportunities.

Nick guides clients through all stages of a transaction, from structuring and term sheet negotiation through diligence, documentation, investor processes, regulatory considerations and closing. He is valued for his responsiveness, attention to detail and ability to coordinate complex workstreams involving fund sponsors, investors, placement agents, financial advisors, lenders and other transaction participants.

In addition to his secondaries practice, Nick advises fund sponsors on the formation, structuring and ongoing operation of private investment funds, separate accounts and other bespoke investment vehicles. He also represents institutional investors in connection with primary fund investments, secondary transactions and co-investment opportunities.
