With more than 275 lawyers across disciplines including specialist areas of tax, ERISA, regulation, fund finance, employment, asset management litigation, and risk management, we understand the objectives, pressures, and commercial dynamics that shape the private funds market. We counsel general partners and management companies on governance, compliance, organizational matters, carried interest and co-investment arrangements, spinouts, reorganizations, and fund restructurings. We also advise institutional investors globally across their alternative investment programs, including primary investments, co-investments, secondary transactions, and bespoke investor vehicles.

Our team has deep experience in secondary transactions and fund restructurings, advising a significant segment of the secondary market. We represent buyers, sellers, and general partners in continuation fund transactions and other GP-led solutions, and have advised on acquisitions and dispositions of partnership interest portfolios, including some of the market's largest secondary transactions.
