Regulatory advice. Advising on evolving federal and state laws and regulations affecting blockchain, digital assets, and web3, as well as necessary governmental licenses and registrations, and analyzing the legal status of digital assets under securities and other regulations.
Commercial contracts, transactional issues, and related advice. Advising clients on drafting, negotiating, and entering into digital asset platform agreements, SaaS and other hosted service agreements, software licenses, professional service agreements, and other commercial agreements.
Corporate structuring and tax advice. Helping clients structure their enterprises, including foundation, onshore and offshore structures, and decentralized autonomous organizations (DAOs), and providing strategic tax advice.
Equity investment rounds. Representing companies in all rounds of funding.
Mergers, acquisitions, and financings. As part of full-service deal representation on M&A and financings, representing companies and providing blockchain and digital asset-specific experience in conducting due diligence on target companies and negotiating deal agreements.
