January 18, 2005 (Boston, MA) - Proskauer Rose LLP, a leading law firm with over 625 lawyers in the U.S. and Europe, announced that starting today, seven new partners have joined its Boston office. Thirteen new associates, practicing in the area of Private Equity, have also been hired, along with four new Intellectual Property associates. Proskauer's rapidly expanding Boston office has grown from three to nearly 60 lawyers in ten months.
All of the newly arriving lawyers, including new partners - Daniel Finkelman, Robin Painter, David Tegeler, Stephen T. Mears, Malcolm Nicholls, Mary Kuusisto and Arnold May - were formerly with the Boston office of Testa, Hurwitz & Thibeault LLP. At least 10 other associates are expected to join in the coming weeks along with a number of paralegals and additional support staff.

Corporate Practice
Daniel P. Finkelman has over 25 years of experience in the private equity field. He concentrates in the representation of private equity funds, including independent venture capital funds, corporate-sponsored venture capital funds, offshore and multi-national venture capital funds, and fund-of-funds. He also represents institutional fund investors. Mr. Finkelman's principal activities on behalf of funds have included capital formations, portfolio investments, sales and distributions, internal governance, secondary transactions, and administration. He has represented funds in raising over $15 billion of committed capital. He received his A.B. from Clark University and his M.B.A. and J.D. from Columbia University.
Robin A. Painter has over 19 years of experience in the private equity field. She concentrates in the areas of corporate and securities law with a particular emphasis on private equity transactions, both domestic and foreign. Ms. Painter has advised private equity fund managers, institutional investors and investment advisers on a broad range of issues, including capital formations, secondary transactions, portfolio investments, internal governance and distributions and divestments. She received her B.A. from Northwestern University and her J.D. from Boston College School of Law.
David W. Tegeler concentrates in the areas of corporate and securities law, with a particular emphasis on private equity transactions. His experience includes representation of private equity fund managers in capital formations, portfolio investments and governance issues, and institutional investors and investment advisers in the private equity field. Mr. Tegeler received his B.A. from Middlebury College and his J.D. from Vanderbilt University.
Stephen T. Mears concentrates on the venture capital and private equity fields. He represents venture capital and private equity funds, including independent venture capital and buy-out funds, corporate-sponsored venture capital funds, and international funds. Mr. Mears' principal activities on behalf of funds have included capital formations, portfolio investments, sales and distributions, internal governance and management, and regulatory compliance. He received his B.S. from and J.D. from Boston College.
Malcolm B. Nicholls, III concentrates in the areas of corporate and securities law, with a particular emphasis on private equity transactions. His experience includes representation of private equity fund managers and investors in both U.S. and non-U.S. fund formation projects, portfolio company investments, and management and governance issues. In addition, he has also represented private growth-oriented companies in the emerging and high technology industries. Mr. Nicholls received his B.A. from the University of New Hampshire his J.D. from Boston University.
Tax Practice
Mary B. Kuusisto practices and advises a broad range of clients in the private equity industry. She concentrates on tax planning and structuring of domestic and offshore venture capital, buyout and other private equity financing partnerships, as well as global investments by those funds in tax-transparent and corporate portfolio companies; tax planning, compensation arrangements and economic structuring for private equity fund managers and general partners; stock option and other equity compensation plans; and participation by a variety of types of investors, especially tax-exempt and non-US institutions, in US and non-US private equity partnerships. Ms. Kuusisto received her B.S. from the University of Florida and her J.D. from Boston University.
Arnold P. May's practice focuses on tax planning for corporate transactions, investment partnerships and equity compensation arrangements. Mr. May has substantial experience structuring taxable and tax-free mergers and acquisitions, for both privately and publicly held corporations. In addition, he has significant experience structuring domestic and offshore private equity partnerships. Mr. May also represents U.S and non-U.S. investors in connection with their investments in venture capital funds, buy-out funds, hedge funds and other investment partnerships. He received his B.A. from Rutgers College, his J.D. from the University of San Diego and his LL.M. from the University of Florida.
