Ellis and Stephen A. Boyko, who specialize in complex corporate financings, as partners in the firm's growing Boston office.

Mr. Ellis, a former partner at Goodwin Procter, focuses on complex financing transactions, mergers and acquisitions and restructuring. He has represented investors and companies in finance restructurings and out-of-court workouts. In addition, Mr. Ellis specializes in representing mezzanine lenders and equity sponsors investing in private companies and companies in large transactions with financial institutions. He has closed credit facilities for companies ranging from several million dollars to $2.7 billion, supervising and coordinating more than 40 attorneys and paralegals in one transaction. Mr. Ellis earned a B.A. degree from Tufts University and a law degree from Boston University School of Law. He is a resident of Wenham, MA.
Mr. Boyko also specializes in complex financing transactions, including those with both debt and equity components. At Goodwin Procter, he focused on mezzanine finance and has advised subordinated lenders, senior lenders and issuers through the process of leveraged and managed buy-outs, going private and other restructurings. Mr. Boyko has had extensive experience in intercreditor issues, debt restructurings and preferred and bridge financings. In addition, he has advised clients in structuring and negotiating public and private mergers and acquisitions. He has counseled public companies in capital raising activities and compliance with federal securities laws and has also represented a number of private equity funds, senior lenders and public and private companies in secured and unsecured financings. Mr. Boyko received a B.S. from Northeastern University, an M.B.A. from Boston University School of Management and a law degree from Boston University School of Law. He is a resident of Andover, MA.
