Matthew K. Kerfoot

Matt Kerfoot is a Partner in Proskauer’s Global Finance Group and a market-leading figure in the fund finance industry. He is widely regarded as one of the leading practitioners in the space, advising on many of the most significant and innovative transactions across the market.  Matt’s arrival at Proskauer was featured in The Wall Street Journal in connection with the Firm’s continued expansion in fund finance.

Matt is the founder and Chair of the PLI Fund Finance Conference and a recognized voice on market structure and trends. He is regularly sought out by The Wall Street Journal, Financial Times and Bloomberg for his views on developments shaping the global finance landscape.

He regularly represents many of the world’s largest and most sophisticated asset managers and financial institutions, including Apollo, Ares, Blackstone, HPS and Antares, on their most complex, high-value and strategically important transactions. His practice spans the full spectrum of private equity and private credit financings, with particular prominence in NAV facilities, preferred equity fund financings and private credit portfolio financings.

Matt is also at the forefront of the structured fund and asset-based financing industry, with a focus on collateralized fund obligations, rated feeder structures and other bespoke structured funding platforms. He is regularly called upon to lead first-of-their-kind and market-defining transactions, and is widely viewed as a go-to advisor for novel and highly structured financings. 

His deal sheet includes advising one of the preeminent global asset managers on its first-ever GP-led collateralized fund obligation, as well as a market-leading asset manager on the largest ever CFO at the time of execution.

Prior to joining Proskauer, Matt was a Managing Director in Sales & Origination in the Structured Credit group at Société Générale, and previously a senior banker in the Fund Finance division at UBS AG. His combined experience as both a senior banker and leading legal advisor provides him with a uniquely commercial and execution-focused perspective. He began his career in private practice at leading international law firms.
