Lawrence H. Budish

Lawrence H. Budish concentrates his practice on mergers and acquisitions, with particular experience in private equity and media.

Larry has represented five private equity funds affiliated with Veronis Suhler Stevenson, a major media investment banking firm, that together raised more than $2 billion. He has handled numerous acquisitions and dispositions for the funds including the recent acquisition of Strata Decision Technology LLC, a leading supplier of internet based software tools for the healthcare industry; the purchase and sale of Previsor, Inc., a leading on-line employment testing provider; the purchase of Southern Theatres LLC and Movie Tavern, Inc., two chains of movie theaters, and the dispositions of Canon Communications, a publisher and trade show operator, and Hemscott Inc., a supplier of data and information to the securities industry.

Larry has extensive experience in the acquisition and disposition and financing of media properties and information technology companies, including cable television systems, television stations, radio stations, magazines and other publications, and on-line advertising and information companies. He has been involved in all types of merger and acquisition transactions – auctions and privately negotiated transactions, acquisitions from public or private companies, acquisitions out of bankruptcy, and acquisitions involving like-kind exchanges.

Larry also has experience in the drafting and negotiating of complex limited liability company agreements, including arrangements for equity participation by management.

  • I. Martin Pompadur and the late Elton Rule in the formation of ML Media Partners, L.P. and ML Media Opportunity Partners, L.P., two publicly held limited partnerships.
  • ML Media, ML Opportunity and other entities controlled by Mr. Pompadur in the acquisition and financing in excess of $1 billion of cable television systems, network television stations, radio stations and other media properties, and in the subsequent disposition of these properties.
  • Take-Two Interactive in the acquisition of Mad-Doc Software, a creator of video games.
  • National Basketball Association in the formation of NBA China L.P. to expand the NBA in China.
