We regularly represent investment funds, private credit lenders and other investors pursuing special situations or credit opportunities that yield attractive risk adjusted returns on debt and equity investments in middle market companies on a global basis. These strategies typically involve companies that are distressed or in out-of-favor or specialized industries (including industries such as retail, media, radio and television, pharmaceuticals, agricultural products, mining, oil and gas and intellectual property), that are undergoing restructurings or recapitalizations in or outside of a proceeding, or with unusual or hard to value assets. Our clients generally have flexible investment mandates and can invest in any debt or equity securities, including, senior secured debt, junior debt and/or lien facilities and debt-like instruments such as preferred and other structured equity securities; provide rescue, DIP or exit financing; acquire entire loan portfolios or invest at the fund level.
The nature of these transactions requires sophisticated, broadly experienced and creative counsel. Our team is cross-trained and has a deep understanding of private credit, private equity and creditor rights. This enables us to consider complex structures unconventionally and to present fresh thinking to our clients. We draw on expertise in private credit, private equity, structured equity, M&A, securities, investment management, fund formation, secondaries, BDCs and registered funds, tax, litigation and restructuring, allowing us to advise, structure and execute on these investment opportunities seamlessly and efficiently.
