Ryan M. Carpenter is a partner in the Private Funds Group. Ryan focuses his practice on the representation of private investment fund sponsors and investment advisers operating growth equity, buyout, venture capital, private credit and fund-of-funds and other strategies in connection with a broad range of issues, including fund structuring and formation, internal governance, regulatory compliance, portfolio investments and day-to-day management and operations. He has significant experience with the establishment and maintenance of general partner and management company entities, including with respect to economic, internal governance, regulatory and day-to-day operational issues. In addition to his ongoing work with a wide array of established fund sponsors, Ryan has counseled numerous emerging managers, including in connection with spinouts, initial fund formation and related matters.
Ryan also advises a wide range of institutional investors on all aspects of the acquisition and disposition of private investment fund interests in the U.S. and abroad, both on a primary basis and in connection with portfolio sales and other secondary market transactions.
He has significant prior experience in the financial services and alternative investments industries, including in the areas of operations management, regulatory compliance, fund formation, portfolio management support and process development and implementation.
