As a partner in Proskauer’s Private Equity Transactions and Mergers & Acquisitions Groups, Kelly advises private equity sponsors, portfolio companies, and strategic clients on a variety of transactions. Her experience includes buy-side and sell-side domestic and cross-border acquisitions, carve-outs, minority investments, and joint ventures. Kelly’s practice spans a range of deal structures and sectors, and frequently involves transactions with management-owned businesses, minority ownership positions, and other multiple-stakeholder situations. Her accomplishments over the past year include advising Railbird Technologies Inc. on its sale to DraftKings Inc.; and advising Sizzling Platter, a portfolio company of CapitalSpring and its co-investor Yukon Capital Partners, on its sale to Bain Capital.
Ben is a partner in Proskauer’s Mergers & Acquisitions and Capital Markets Groups. He focuses on major corporate transactions and strategically solving business challenges, guiding clients through transformative deals across California’s markets. Ben’s practice includes private equity and strategic mergers and acquisitions, capital markets transactions, special committee, board of directors and general corporate representation, and corporate governance. His experience covers a range of industries, including technology, renewable resources, entertainment, software-as-a-service, specialty manufacturing, and consumer products. Ben’s recent successes include advising Zello Group in its acquisition of Cinelease from Herc; and advising Kinematics, a portfolio company of Angeleno Group, in its acquisition of P4Q from a Spanish private equity fund.
