Jonian Rafti is an associate in Proskauer’s Corporate Department and a member of the Health Care Group. His practice focuses exclusively on the health care industry, where he advises private equity sponsors, health systems, management companies, physician groups and lenders on complex transactions, business relationships and regulatory matters. He serves as a trusted outside advisor, providing practical, thoughtful guidance in a highly regulated and rapidly evolving sector.
Jonian represents clients in mergers and acquisitions, joint ventures, platform investments and financings. In addition to his transactional work, he provides day-to-day legal counsel on a broad range of commercial arrangements, including management services agreements, professional services arrangements, strategic affiliations and value-based care initiatives. He works closely with clients to structure, negotiate and implement these arrangements in compliance with federal and state laws governing the practice of medicine and the health care industry. His regulatory practice includes advising on the Anti-Kickback Statute, Stark Law, Civil Monetary Penalties Law, and related fraud and abuse regimes, as well as state corporate practice of medicine, licensure and reimbursement laws. He regularly helps clients identify and resolve compliance risks that arise in the ordinary course of business, partnering with executive teams to develop business-oriented solutions.
Jonian also advises on HIPAA, state data privacy and technology matters, including issues at the intersection of health care and artificial intelligence. He is certified by the International Association of Privacy Professionals as a Certified Information Privacy Professional (CIPP/US) and an Artificial Intelligence Governance Professional (AIGP).
Jonian serves on the Board of Directors of the Alliance for Positive Change (formerly the AIDS Service Center NYC), a nonprofit organization providing comprehensive social services to low-income New Yorkers living with HIV and other chronic health conditions. He previously served on the Board of Directors and as Vice-Chair of The Andrew Goodman Foundation, and on the Bard College Center for Civic Engagement’s Young Alumni Advisory Council.
