Transactional Activities

In Brazil as well as throughout Latin America, we are well-known for our sophisticated transactional service.  We work with issuers and underwriters in securities offerings, including initial public equity offerings, bond offerings and securitizations. We also represent borrowers and lenders in a variety of credit transactions, including syndicated term and revolving loans covering the full range of security interests, guarantees and other enhancements. Our M&A lawyers advise U.S. or Latin American acquirers or targets in the purchase and sale of Latin American or U.S. businesses and assets. Representing investors, sponsors, or targets, we facilitate arrangements for direct private equity investments. And we assist with fund formation from a variety of angles, including tax, regulatory and corporate structuring and day-to-day advisory services.

Corporate and Regulatory Services

Our corporate and regulatory lawyers advise Latin American entrepreneurs, companies and financial institutions navigate matters related to the U.S. market. In addition to assisting with the formation and structuring of new business ventures in the United States, we offer help with tax structuring; corporate governance; immigration assistance for executives; labor and employment matters; patent and trademark registration; and licensing, marketing and distribution agreements. Our firm also serves as general counsel for a number of Latin American companies on U.S. law matters.

Our regulatory experience covers trade, antitrust, securities, banking, insurance, health care and many other areas, assisting with matters such as applications for regulatory licenses and approvals.
