Steven D. Einhorn is an Associate in the Tax Department resident in the New York office, practicing in the areas of employee benefits and executive compensation.
In the executive compensation area, Steven represents both employers and senior executives in the negotiation and drafting of employment agreements, equity compensation arrangements, change of control agreement, severance agreements and other compensation arrangements, including compliance with Sections 162(m), 280G and 409A of the Internal Revenue Code.
In the employee benefits area, Steven has experience in the design, implementation and ongoing concerns of 401(k), 403(b) and defined benefit plans. He counsels on compliance with ERISA, the Internal Revenue Code, and other laws affecting employee benefit plans, as well as issues concerning plan administration, qualification requirements, fiduciary duties and prohibited transactions.
Steven also advises clients with respect to the employee benefits and executive compensation issues related to corporate mergers & acquisitions and other forms business transactions.
