Robert Gaut is a tax partner and head of our UK tax practice in London.

He has represented many of the world’s preeminent multinational corporations, sovereign wealth funds, investment banks and private equity funds on a full range of UK and international tax strategies relating to inbound and outbound transactions, capital markets offerings, establishment of investment funds and financing matters.

Recent representative transactions include:

  • Advised The Carlyle Group on the acquisition of PA Consulting Group, enterprise value $1 billion
  • Advising Montagu Private Equity on the successful close of its fifth fund (Montagu V) with a total capital commitment of €2.75 billion

  • Acting for ERM Worldwide Limited on the sale of Environmental Resources Management to OMERS Private Equity, the private equity investment arm of the OMERS pension plan, from Charterhouse Capital Partners for an enterprise value of US $1.7 billion

  • Advising the management of Integro Ltd. in the company’s acquisition by entities affiliated with Odyssey Investment Partners, LLC, a leading private equity firm

  • Advising Jefferies, Credit Suisse and Goldman Sachs on the tax aspects related to the $650 million senior secured credit facility for Amplify Snack Brands, in connection with its acquisition of Tyrrells, a British premium snack food business.

  • Advising Ares Management LP, the leading global alternative asset manager, on the international tax aspects of its initial public offering, raising US $216 million in the first IPO by a major private equity firm since the Carlyle Group went public in 2012

  • Acting for Sankaty Advisors LLC, the credit affiliate of American private equity firm Bain Capital, on its acquisition and refinancing of British retailer TM Lewin

  • Advising Magnificent Real Estate in the tax aspects of its acquisition of Travelodge London Kings Cross

  • Advising Lion Capital on the tax aspects of its sale of AS Adventure Group to European private equity house PAI Partners
  • Advising Mereo BioPharma Group Ltd, a recently formed specialty biopharmaceutical company, on its successful fundraising of $119 million and subsequent acquisition of assets from Novartis Pharmaceuticals
  • Advising Imperial Capital in the tax aspects of the £115 million high-yield bond offering and subsequent £30 million tack-on offering by the English hospitality company, Soho House

  • Acting for Rubicon Partners on the sale of Invotec Group to Amphenol Corporation
  • Advising UK property developer, Terrace Hill, in relation to its acquisition of Urban & Civic. The deal was carried out as a reverse takeover, with the combined group being listed on the main market as Urban & Civic plc.
  • Acting for Vaxin Inc. on its acquisition of Immune Targeting Systems
  • Advising the sellers of Kinetic Partners to Duff & Phelps
  • Advice to Silver Point Capital on multiple UK transactions
  • Advice to Manzanita Capital on multiple matters, including the acquisition of Kevyn Aucoin Beauty
  • Acting for KKR, Sankaty and Praesidian Capital on various multi-tranche loan matters
  • Acting for an Italian corporate on VAT issues relating to the London Olympic park
