Rajani K. Gupta is a partner in the Corporate Department. Her principal focus is the representation of banks and other financial institutions as lenders and strategic investors, as well as buyout funds and corporations as borrowers in domestic and international financings, including financings of mergers and acquisitions, debtor-in-possession and exit financings, first and second lien financings and working capital and asset-based financings.

Rajani was recently recognized in the annual list of the “Top 40 under 40” lawyers in California by the Daily Journal. In addition, she is ranked by Chambers USA, who notes that Rajani is “a go-to finance attorney due to her ‘quality of expertise and level of work’”, receiving praise from clients for “being really up to speed on the market.”

Rajani has represented private equity sponsors as well as several leading financial institutions. Key representations include:

  • Representing funds affiliated with Ares Management in connection with:
    • $230 million of senior secured bank facilities obtained to finance the acquisition by Ares and Harvest Partners of Valet Waste Holdings
    • $560 million of senior secured credit facilities obtained to finance the acquisition by Ares of National Veterinary Associates, and $360 million of additional term debt loan raises
    • $870 million of senior secured credit facilities obtained to finance the acquisition by Ares of Smart and Final Stores
    • $180 million of senior secured term loan and asset based revolving credit facilities for Floor and Décor, Inc.
    • Financings for Neiman Marcus Group and 99 Cents Stores
  • Advising on the $2.4 billion of senior secured term loan and asset based revolving facilities used to finance the acquisition by Ascena Retail Group of Ann Taylor
  • Advising on a $1 billion unsecured revolving credit facility for Church & Dwight
  • Advising on the $845 million of senior secured credit facilities obtained to finance the acquisition by RCAP Holdings of Cetera Financial Holdings
