Peter G. Samuels, co‑head of the Mergers & Acquisitions Group, works on mergers and acquisitions, corporate governance issues and joint ventures, and provides counsel on numerous other matters. He has broad experience in serving as corporate counsel for public companies. Peter advises boards of directors and activist shareholders on corporate governance and issues relating to strategic considerations, affiliated party transactions, and related matters.

Among the clients that Peter regularly advises are Bed Bath & Beyond Inc., Grifols S.A., Neuberger Berman, Overseas Shipholding Group, Inc., and W.R. Huff Asset Management. Illustrative transactions handled by Peter include:

  • Grifols S.A.'s pending $4 billion acquisition of Talecris, Inc. announced in June 2010
  • Representation of the founder and largest shareholder of Affiliated Computer Services in its $6.4 billion merger with Xerox Corporation closed in February 2010
  • Overseas Shipholding’s initial and restructured $1.1 billion vessel construction and financing joint venture with Aker Group closed in December 2009
  • Intellon Corporation's merger with Atheros closed in December 2009
  • Neuberger Berman’s management buyout from Lehman Brothers Holdings Inc. closed in April 2009

A lecturer on mergers and acquisitions and other subjects, Peter has acted as Chair and member of panels for various organizations, including Practising Law Institute, University of Pennsylvania Law School and the European American Chamber of Commerce. He serves on the Board of Advisors of the University of Pennsylvania Institute for Law and Economics and is Chairman of Wildcat Services Corp., a not-for-profit job training organization.
