Louis Sorgi is senior counsel in the Corporate Department and a member of the Private Funds Group. His practice focuses on representing private funds and private fund sponsors in all aspects of their business, including fund formation and ongoing operations and internal structuring and compliance. While Lou represents private fund sponsors across a broad span of asset classes including venture capital, growth equity, real assets, buyout, secondary and fund-of-funds, he has significant experience routinely representing some of the industry’s most preeminent life sciences venture capital firms.
In addition, Lou’s practice includes assisting fund sponsors through all stages of the secondary transaction process, including the acquisition and sale of partnership interests, tender offers, continuation funds, fund restructurings and other GP-led transactions. Furthermore, Lou represents a diverse class of institutional investors with respect to traditional LP investments in U.S. private investment funds, across the asset classes, as well as co-investment transactions.
Prior to joining Proskauer, Lou practiced at Seward & Kissel LLP in New York where he had a general investment management practice with an emphasis on the representation of private funds, private fund sponsors and investment advisers on a broad range of issues including fund formations, investor admittance and ongoing regulatory compliance and operational issues.
