Joshua Miller is a partner in the Tax Department whose practice covers both executive compensation as well as employee and equity issues in corporate mergers and acquisitions.
Josh advises buyers, sellers and investors on executive compensation and employee benefits matters in transactions involving both public and private companies. In this regard, he counsels clients on not only securities, tax and labor issues, but also practical considerations such as retention, integration and corporate governance.
He also focuses on the design and negotiation of employment, severance, change in control and separation agreements for CEOs and other senior executives; annual and long-term equity and cash incentive arrangements such as cash bonus plans, stock options, restricted stock and RSUs, phantom units and profits interests awards; and other employee benefit programs and features. He advises both companies and individuals with respect to compliance with Internal Revenue Code Sections 83(b), 162(m), 280G and 409A, securities law disclosure requirements, market trends and best pay practices.
Prior to joining Proskauer, Josh began his legal career at Wachtell, Lipton, Rosen and Katz.
