Monica Shilling is a Partner in the Corporate Department and co-head of the firm's global Private Equity Group. She has a broad corporate and securities law practice that focuses on advising:
investment banks and issuers in a variety of corporate finance transactions, including initial public offerings, other public offerings of debt or equity, private placements, corporate recapitalizations, consent solicitations and exchange offers;
purchasers, sellers and financial advisors in public and private merger and acquisition transactions, including negotiated takeovers, leveraged buyouts, going private transactions, tender offers, joint ventures and spin-offs; and
public and private companies on matters of general corporate law and corporate governance, securities law, SEC (including Sarbanes-Oxley) and NYSE/Nasdaq compliance.
Monica represents private equity funds and their portfolio companies, often in a full investment cycle, including acquisitions, financings and dispositions. She also advises companies on the establishment of business development companies (BDCs) and other private and public equity vehicles. Monica is among a small number of attorneys in the country who actively represent BDCs, including Ares Capital Corporation, one of the largest BDC with over $15 billion under management.

She is one of the three or four best transactional lawyers with whom I have ever worked. Monica was honored by Chambers USA at its 2012 Women in Law Awards as the Up & Coming Corporate/M&A Lawyer of the Year and has also been recognized by the Daily Journal as one of the top 25 transactional women lawyers in California in its 2011 Top Women Lawyers issue.
Monica is a frequent guest panelist at the Women's Private Equity Summit, and recently spoke on Trends in Exits at the Summit in March 2012. Additionally, Monica has been a frequent guest speaker at the Practising Law Institute's Corporate Compliance Workshop, including PLI's 2008 Corporate Compliance and Ethics Institute.
