Our Strategic Corporate Planning Group takes a strategic approach to labor and employment matters for clients who are buying or selling a business, helping them maximize opportunity and avoid potentially devastating results. If key issues are addressed early in the process and the proper groundwork put in place, a new owner will be well-positioned to execute the terms and conditions of employment and practices that complement its business strategy, augmenting the value of a deal. We are recognized leaders in advising privately and publicly held companies and investors throughout the course of a transaction in important – and often-neglected – areas that are critical to successful corporate mergers and acquisitions.

We collaborate with accounting firms, financial advisory firms, management consultants and corporate law practices to advise clients on the panoply of labor and employment issues that arise in the context of corporate transactions, including labor-management relations, workplace issues, employee benefits, executive compensation and immigration matters. We help clients minimize risk and maximize the value and success of corporate transactions by navigating buyers and sellers through the labor and employment issues that arise in the course of a transaction, advising target companies after completion of a sale, and helping buyers to identify and implement the post-acquisition employment terms, conditions and practices that will enable them to maximize value and achieve their strategic objectives.

  • Am Law 100 firms, in labor relations aspects of their clients' mergers, acquisitions and joint ventures 
  • L-3 Communications, a leading supplier of a broad range of products and services used in a substantial number of aerospace and defense platforms, in its acquisition of SSG Precision Optronics, SafeView, Crestview Aerospace Corporation and Nova Engineering 
  • New York Stock Exchange/Euronext in the labor and employment aspects of its purchase of the American Stock Exchange (AMEX), including the potential termination of AMEX’s bargaining relationship with a labor organization representing certain of the exchange’s employees
