Proskauer's roster of real estate capital markets clients include public real estate companies and REITs, underwriters of real estate securities, institutional principal investors, real estate funds, pension advisors, hedge funds and national owners and developers. We regularly represent clients in all different stages of investment - growth capital, mature private equity, public debt and equity, management buyouts, and other leveraged acquisitions and recapitalizations of successful and less successful companies, and other special situations.  We also represent our finance clients in both senior and mezzanine positions, as well as secured and unsecured positions.

Proskauer helps investors evaluate, structure, negotiate, and consummate literally dozens of real estate capital markets and finance transactions annually.  Our representation includes fund formations; IPOs; public company mergers; roll-up transactions; equity and preferred equity offerings and placements; high-yield debt and convertible debt offerings and placements; senior and mezzanine financings; public and private tender offers; and joint ventures. 

The Real Estate Capital Market Practice employs a multi-disciplinary approach to representing clients, advising them on a myriad of legal, accounting, and regulatory issues that issuers, underwriters, lenders and investors typically encounter in real estate capital markets and finance transactions.  The Group collaborates with transactional tax lawyers who have expertise in structuring real estate capital markets transactions. 

Proskauer has a history of being at the forefront of market developments; for example, our lawyers have pioneered a number of structures and techniques in real estate capital markets, including the unique "paper clip structure" utilized in the CapStar Hotel Company/American General Hospitality merger, some of the first limited partnership tender offers, the creation of the initial REIT unit investment trust, and currently, the first non-traded, publicly offered REIT with a unique investor-friendly structure.
