Overview

Proskauer’s Chicago office is a Midwest base for clients who seek the formidable combination of capabilities and qualities for which our firm is known. Since the office opened in 2008, it has provided sound counsel in and across legal disciplines, excellence in client service, and access to our considerable resources worldwide.

Chicago is home to lawyers in several of our legal departments — Corporate, Health Care, Labor & Employment, Litigation and Tax. Within these departments, in turn, there are a number of nationally recognized leaders in key practices.

Corporate

Our Corporate Department works with clients on their most sophisticated transactional issues. We offer a robust lineup of practices ranging from bankruptcy, real estate, private investment funds, private equity, mergers & acquisitions and capital markets to finance, corporate governance and environmental.

Clients span many industries all over the world. We represent large public and private companies, medium- and small-cap companies, financial institutions, private investment funds of all types, hedge funds and entrepreneurs. Our Corporate team in Chicago focuses on bankruptcy and real estate capital markets, and we have strong capabilities in M&A and finance as well.

The Business Solutions, Governance, Restructuring & Bankruptcy team represents distressed clients — including middle- and upper-market public and private companies — in workouts, restructurings and Chapter 11 cases. In addition, the team:

  • Represents private equity funds in the full spectrum of insolvency-related matters over a broad range of industries: automotive, distribution, finance, health care, manufacturing, media and retail
  • Represents hedge fund managers, investors and the funds themselves in distressed situations
  • Acts as independent fiduciaries overseeing receivership and bankruptcy estates

The Real Estate Capital Markets team represents underwriters, issuers, lenders and investors in structuring and completing capital and finance transactions involving real estate companies and funds. It is particularly known for its pioneering work in real estate investment trusts. The team’s wide scope of coverage includes:

  • Fund formations; initial public offerings; mergers & acquisitions; roll-ups; offerings and placements of equity, preferred equity, high-yield debt and convertible debt; senior and mezzanine financings; public and private tender offers; and joint ventures
  • Most major property sectors: multifamily residential; lodging & gaming; retail; health care; industrial; and offices
  • Corporate governance
  • Compliance

Health Care

Our Health Care lawyers handle important matters that include:

  • High-stakes mergers & acquisitions
  • Deals for top hospitals, including many notable privatizations and restructurings
  • Health care compliance issues
  • Cross-border representation of health care companies in regulatory and transactional matters
  • The lawyers also represent private equity firms in health care acquisitions, and advise on regulatory and reimbursement issues for the firms’ health care portfolio companies.

Labor & Employment

The Labor & Employment team — part of our world-class department — represents employers in numerous matters:

  • Single and class action disputes stemming from workplace harassment and employment discrimination claims
  • Collective and class actions involving allegations of wage and hour violations under state and federal laws
  • Internal investigations regarding allegations of discrimination or other wrongdoing involving senior executives
  • Defense and enforcement of non-compete agreements
  • Trade secret protection cases
  • Counseling on human resources policies to ensure compliance with state and federal laws
  • Representation before state and federal courts, the U.S. Equal Employment Opportunity Commission, the Illinois Human Rights Commission and the American Arbitration Association

The Whistleblowing & Retaliation team represents companies in defending against and preventing whistleblowing litigation globally. Its multidisciplinary approach integrates the know-how and experience of colleagues in the Labor & Employment, Corporate, Health Care, Litigation and Tax departments.

Litigation

Our Chicago Litigation lawyers advise in contested matters not only in Illinois and the Midwest, but also across the U.S. and abroad. They appear before administrative and regulatory agencies, as well as U.S. and international arbitral tribunals.

  • Their broad commercial litigation experience includes major technology and contract disputes; class actions; trademark and trade secret issues; and matters in labor & employment, real estate, securities and antitrust.
  • They also have served as coordinating counsel for a variety of consumer and tort cases.

The Insurance Recovery & Counseling team represents policyholders in coverage disputes with their insurers.

  • It is one of the only teams in its field in the Midwest — and one of a handful in the U.S. — with a practical understanding of reinsurance and captive issues.
  • It has been involved in some of the largest and highest-profile insurance cases, and has obtained billions of dollars of recoveries for clients.
  • It does substantial advisory work, including policy review as well as analysis of negotiations and coverage.

Tax

Our Tax practice is predominantly transactional and focuses on tax laws in the U.S. (on both the federal and state levels) and the UK. In addition to transactions, matters most frequently are about investment funds, employee benefits and executive compensation, and exempt organizations.

The Not-For-Profit/Exempt Organizations team handles the tax-exempt concerns of:

  • Large private foundations and public charities such as hospitals, nursing homes and universities
  • Supporting organizations, charitable trusts, title-holding companies, civic welfare organizations, business and sports leagues
  • Voluntary employee beneficiary associations
