Proskauer Rose Named Leading Law Firm in The Legal 500 US Survey of Corporate and Financial Practices

M&A, Investment Funds, Private Equity and Capital Markets Practices Singled Out As Among Best in Their Fields

January 8, 2007 (New York, NY) - Proskauer Rose LLP, an international law firm with over 700 lawyers worldwide, is pleased to announce that it has been named among the top United States firms practicing corporate and finance law in The Legal 500 US Volume I: Corporate & Finance, a ranking of the "best of the best" U.S. law firms.

Proskauer was named a leader in the following categories:

  • Capital Markets - High-Yield Debt
  • Investment Funds - Alternative/Hedge Fund Formation

In addition, 18 individual Proskauer attorneys were singled out for their exceptional work.

The recognition by The Legal 500 comes as the firm's Corporate Department continues its expansion across all core practice areas, including investment funds, private equity, mergers and acquisitions, capital markets and finance.

In the past year, the firm's corporate work has included the representation of more than 180 private equity and other investments funds, as well as the representation of: Merrill Lynch Global Private Equity in the $33 billion acquisition of HCA; Corporacion UBC Internacional, S.A., in its $1.51 billion acquisition by Citigroup; and an underwriting syndicate led by Citigroup in a $547 million public bond offering that will be used to finance a new stadium for the New York Mets, which was named "Deal of the Year" by Bond Buyer magazine.

In Volume 1, Proskauer's corporate practices and attorneys were recognized for a range of transactions and matters in the following areas: 

Private Equity - Buyouts

Proskauer was noted for its continued growth in work on buyouts and sizeable investments in public companies, including PIPEs, as well as its strength in the hedge fund space.

Representative clients include Charterhouse Group, Great Hill Partners, Lehman Brothers, Veronis Suhler Stevenson, and New England Capital. Individual Proskauer attorneys who were noted are Adam Kansler, Alexander Temel, Stephen Rubin and Bruce Lieb.

Private Equity - Fund Formation

With over 60 attorneys devoted exclusively to fund formation, Proskauer was noted for being home to one of the largest teams of its kind, as well as the fact it was ranked nationally by Dow Jones Private Equity Analyst by number of funds raised last year, having represented general partners on 35 fundraisings and limited partners on 193 deals.

Representative transactions include working with Spectrum Equity Investors in the structuring of its fifth buyout fund, totaling approximately $1 billion, and representing Abbott Capital Private Equity in its $850 million fund of funds. Attorneys who were singled out for recognition are Robin Painter and David Tegeler, co-heads of the firm's Private Investment Funds Group, as well as Bruce Lieb.

International Mergers and Acquisitions

Proskauer's Mergers and Acquisitions practice was cited for its work across a range of industries including pharmaceuticals, gaming, sports, retail and ship-holding in the U.S. and international jurisdictions.

Representative transactions include working with Bahamanian development firm Baha Mar in a $2.5 billion joint venture with Harrah's and Starwood Hotels & Resorts to develop the largest casino and resort property in the Caribbean, representing Andrx in its $1.9 billion acquisition by Watson Pharmaceutical, and advising Flarion Technologies in its $805 million acquisition by Qualcomm.

Attorneys who were noted are practice co-heads Jeffrey Horwitz and Peter Samuels, Steven Kirshenbaum, Ronald Papa, chair of the firm's Corporate Department, and Andrea Rattner.

Capital Markets - High-Yield Debt

The growth of the Capital Markets Practice was cited as well as its work for both underwriters and issuers in the high yield area and the frequency of referrals received from investment banks.

Transactions that are noted are the representation of Idleaire Technologies in its $320 million senior secured discount notes offering, advising Jefferies & Company in the $172 million Rafaella Apparel Group acquisition, and representing Altra Industrial Motion in its $165 million senior secured notes offering. Attorneys who were noted are Julie Allen and Allan Williams, co-heads of the practice, Ian Blumenstein, and Michael Woronoff, head of Proskauer's L.A. corporate practice.

Investment Funds - Alternative/Hedge Fund Formation

Proskauer's work serving the alternative investment and hedge fund industry, including tax and ERISA support, was cited.  Individual attorneys who were noted are Christopher Wells, Alan Parnes and Ira Bogner.
