Proskauer Represents Global Health Care Company Grifols S.A. in $3.4 Billion Acquisition of Talecris Biotherapeutics
June 8, 2010 (New York, NY) – Global law firm Proskauer announced that it represented longtime client Grifols S.A., together with Grifols’ general counsel Osborne Clarke SLP, in its $3.4 billion agreement to acquire Talecris Biotherapeutics, creating a global leader of life-saving and life-enhancing plasma protein therapeutics.
The combination of Grifols, a global health care company and leading producer of plasma protein therapies, and Talecris, which is subject to regulatory and other conditions, will create a vertically integrated and diversified international plasma protein therapies company, bringing together complementary geographic footprints and products, as well as increased manufacturing scale. The deal was the latest Proskauer handled for Grifols. Other matters the firm has handled on behalf of the Spanish health care products group include its 2009 private placement of corporate bonds in the U.S., one of the largest such transactions in the market last year, and its 2006 IPO in Spain.
The Grifols-Talecris deal included a multidisciplinary team of Proskauer lawyers who worked closely with financial advisers Nomura and Grupo BBVA.
