Biography:

Jeffrey Neuburger is a partner in the New York office and Co-Chair of the Technology, Media and Communications Practice Group at Proskauer Rose.

With over 22 years of experience, Jeff’s practice focuses on technology and media-related business transactions and counseling of clients in the utilization of “new media” -- emerging technology and distribution methods – for the commercialization of new businesses. For example, Jeff represents many clients in e-commerce strategies associated with products, services or content commercialized on the Internet through broadband channels, mobile platforms and other emerging channels of business. He also represents companies in connection with affiliation agreements and other contracts related to broadcast and cable television distribution (including video-on-demand), print publishing, mobile and other channels of business.

On transactional matters, Jeff drafts and negotiates agreements related to most types of transactions in the media, content or technology area, including joint ventures, strategic alliances, licenses, affiliation agreements, distribution agreements, development agreements, and advertising agreements, among others. He also structures and negotiates large-scale, complex, multiparty agreements related to the exploitation of content through new technologies.

Counseling clients on a wide range of technology matters, Jeff advises on issues including open source mobile marketing (including issues arising with respect to SMS and e-mail under the mobile marketing association and direct marketing association guidelines), intellectual property (including issues relating to music licensing and issues under the Digital Millennium Copyright Act), publisher liability (particularly related to issues under the Communications Decency Act , privacy and data security, electronic signatures, “terms of use,” digital rights management, etc. Jeff is conversant in “Web 2.0” concepts and regularly advises clients on these complex issues.

  • Web publishers in connection with issues related to wireless distribution and issues related to “user generated content,” blogs, “mash ups,” “widgets,” “gadgets” and other Web 2.0 issues

  • Clients in connection with the acquisition of hardware, software and services related to internal operational systems (e.g., content management systems, customer relationship management systems, trading systems, financial management systems, data feeds, electronic publishing systems, point of sale systems, warehouse management systems, truck fleet management systems, inventory management systems, human resources systems, payroll systems, infrastructure management systems, electronic publishing systems, etc.)
  • Clients in Internet and electronic publishing initiatives
  • Clients in advertising agreements with Internet ad networks and others
  • Major brand owner in merchandising program involving licensing of characters for exploitation of a wide range of consumer products
  • Clients with music licensing issues (including music publishing) associated with streaming and downloading on the Web
  • Clients in “M&A” involving Web or technology-based assets
  • Clients in data center outsourcing, collocation, disaster recovery, off-site backup, etc.
  • Client as expert witness in major federal court litigation relating to interpretation of television distribution agreement in light of emerging technologies
  • Major universities in technology transfer transaction and joint development agreements
  • Clients in Web site design, development and hosting initiatives, and the creation and negotiation of co-branding, linking, affiliation agreements, terms of use, privacy policies, insertion orders, sponsorship agreements, etc.
  • Television broadcast networks, television stations, cable distributors and programming networks in production agreements, license, affiliation and multiplatform distribution agreements, technology, online and other matters
  • Clients in telecommunications infrastructure, networking and services agreements
  • Clients in connection with online privacy and data security, including issues related to children’s privacy, breach notification, privacy policies and best practices

As an Adjunct Professor at Fordham University School of Law teaching E-Commerce Law, Jeff lectures extensively on a range of issues, including computer and e-commerce law, emerging technology developments, intellectual property, homeland security issues, outsourcing, privacy and data security. He is also co-author of two books, Doing Business on the Internet and Emerging Technologies and the Law. Founder of the monthly newsletter, New Media, Technology and the Law, Jeff is a member of the editorial boards of various publications on related topics, including the Law Journal Newsletters "Privacy and Data Protection Legal Reporter."

A member of the New York State Bar Association, Jeff was Chair for five years of the Bar Association’s Special Committee on Cyberspace Law. He is also a member of the Association of the Bar of the City of New York and the Connecticut Bar Association.

The International Who's Who of E-Commerce Lawyers, The Best Lawyers in America, Wired Magazine, Crain's New York Business, New York Magazine, Silicon Alley Reporter and Alley Cat News have all recognized Jeff as a leader in his field. He has served on advisory panels to Congress, and is regularly quoted by mainstream general and trade publications.

Prior to practicing law, Jeff began his career working in the information technology field. He completed General Electric Company’s two-year Information Systems Management Program and spent an additional four years in Information Systems Management at GE Capital. Jeff’s undergraduate degree is in computer science and applied mathematics.
