| Biography:
Natalie Newman is an associate in Proskauer Rose LLP’s Corporate Department and is a member of the Intellectual Property and Privacy and Data Security practice groups. Natalie is resident in the Firm’s New York office.
Prior to joining the Proskauer, Natalie was an associate at Thelen Reid Brown Raysman & Steiner. She received her J.D. from Benjamin N. Cardozo School of Law and her B.A. from the University of Pennsylvania.

Represent major automobile manufacturer in the drafting and negotiation of a major $96 million telematics technology acquisition and services agreement, and counsel such client on privacy, data security and other legal issues with respect thereto.

Represent large cable television, broadband and telephony services provider in the drafting and negotiation of right of entry and easement agreements and a wide range of commercial services agreements with small businesses, corporations, financial institutions, government entities, educational institutions and municipalities.

Represent large cable television, broadband and telephony services provider in the drafting and negotiation of a variety of cable programming (including Video On Demand, linear affiliation and HD agreements), content license agreements, software license agreements and other services agreements.

Represent social networking web site start-up, which has multiple online presences, in the development and implementation of its web sites and backend operations to be compliant with applicable state and federal laws, including drafting privacy policies and web site terms and conditions for the web sites, and the development of legally compliant information collection and usage policies and procedures.

Represent public broadcasting station and content provider in the acquisition of all assets of a website, including conducting due diligence and drafting and negotiating asset purchase agreement.

Conduct due diligence in technology, privacy and data security transactions and address other issues in clients’ purchases and acquisitions of online concerns.
- Draft, negotiate and counsel clients on issues relating to online advertising agreements (including for publishers, advertisers and ad networks).
- Represent large cable television, broadband and telephony services provider in the drafting and negotiation of large multi-media, multi-channel media buying and planning agreement.
- Draft, negotiate and counsel clients on issues relating to software license agreements, website and database hosting agreements; ASP agreements, technology licensing agreements and other Intellectual Property transactions.
- Prepare website terms of use, and other consumer usage policies and guidelines for clients’ websites and other online activities hosted on clients’ websites, such as blogs, chat services, etc.
Privacy & Data Security

Regularly assist clients with their websites, marketing campaigns and in implementing both internal and consumer-facing privacy, data security, direct marketing and affiliate marketing policies and contracts, to be compliant with applicable state and federal laws and that meet the clients’ marketing, sales and other business needs.

Regularly counsel and assist clients in addressing federal and state spam, SMS, telemarketing, fax and similar laws, regulations, rules and industry standards regulating all types and media of commercial correspondence, including state child “do-not-contact” registry laws.

Extensive expertise in and experience in counseling clients with respect to the CAN-SPAM Act, MMA Guidelines applicable to mobile marketing, the Children’s Online Privacy Protection Act, the Digital Millennium Copyright Act, the Communications Decency Act Safe Harbor, the Payment Card Industry Data Security Standards, all state breach notification laws, state data security laws, California’s “Shine the Light” law and California’s Online Privacy Protection Law.

Represent clients in every aspect of managing, responding to and notifying affected individuals in the wake of data security incidents, in compliance with applicable federal and state data security laws (including, for example, Gramm-Leach Bliley and HIPAA).
- Represent both advertisers and publishers in drafting and negotiating online advertisement agreements, including the traditional ad network model and the ad exchange model.
- Represent subscription book, music and DVD clubs in the drafting and negotiation of a variety of transactions, and counsel this client in legal issues regarding privacy, data security, direct marketing and e-commerce issues.
- Conduct audits of clients’ web sites and advise clients with respect to the legal compliance thereof.
