Paul S. Bernstein is a senior counsel in the Firm’s corporate and securities practice in Los Angeles. Paul represents:

• purchasers and sellers in public and private merger and acquisition transactions;

• investment banks and issuers in registered and Rule 144A securities offerings;

• companies and investors in private placements of debt and equity securities;

• entities and individuals with respect to corporate governance and SEC reporting; and

• parties to joint venture and strategic alliance agreements.
  

Representative transactions include:

• auction and sale of Syborn Dental Specialties in a cash tender offer;

• auction and sale of Modern Luxury Media to a private equity buyer;

• numerous securities offerings for Native American Indian tribes to finance gaming resort facilities;

• numerous early-round financings for start-up companies;

• committee charters and ’34 Act reports for NYSE and NASDAQ companies; and

• joint venture among Showtime Networks, NBC Universal, Sundance Channel and Robert Redford.
