Biography:

Stuart Bressman focuses on a variety of corporate transactions, including securities offerings, venture capital and other forms of private equity, mergers and acquisitions, joint ventures, recapitalizations and various types of finance transactions. He also advises clients with respect to general corporate and securities compliance and reporting matters.

Stuart has represented both underwriters and issuers in connection with numerous public and private offerings of securities, including initial and secondary offerings of equity and convertible securities, offerings of high-yield and investment- grade debt, shelf registrations and Rule 144A offerings. Stuart is known as a leader in the area of alternative financing techniques, such as Registered Direct Offerings and Private Investments in Public Equity (PIPEs). With respect to mergers and acquisitions, Stuart has significant experience representing both buyers and sellers in public and private transactions, including leveraged buyouts.

Stuart is quoted regularly in the media regarding securities offerings and alternative financing techniques. During the past three years, he has completed over 40 registered offerings of securities totaling over $1.2 billion in proceeds. He also has represented placement agents in over 100 private placements of securities for public and private companies. In addition, he has completed over 100 venture capital and other private equity transactions, representing both investors and companies seeking financing. Stuart’s experience covers a wide range of industries, including technology, life sciences, alternative energy, health care, the Internet and telecommunications.

Recent representations include:

  • Lazard Capital Markets/Lazard Frères and Company, as underwriter/placement agent, in public offerings of securities, as well as PIPEs and private placements, such as the offering by Trico Marine Services of $300 million of Senior Convertible Debentures and the offering by CombinatoRx Inc. of $35 million of Common Stock
  • Jefferies & Company, Inc., as underwriter/placement agent in public offerings of securities, as well as PIPEs and private placements, such as the offering by Emcore Corporation of $100 million of Common Stock and Warrants and the offering by Lev Pharmaceuticals of $35 million of Common Stock and Warrants
  • The Goldman Sachs Group, Inc. (Principal Investment Area, Private Equity Group and Principal Strategies Group) in connection with private equity investments, including investments both as a principal and on behalf of funds managed by Goldman Sachs, co-investments, venture capital financings, LBO financings and PIPE investments
  • Cowen and Company, as underwriter/placement agent in public offerings of securities, as well as PIPEs and private placements
  • Rotech Healthcare Inc., a leading provider of home medical equipment and services in the United States, in corporate and securities matters

Stuart is an active member of the American Bar Association, the New York State Bar Association and the Association of the Bar of the City of New York, where he served on the Committee on Securities Regulation. Stuart regularly speaks on topics relating to securities offerings and recently appeared as a panel moderator on "Registered Direct Offerings and Other Alternative Financing Techniques" at the DealFlow Media PIPES Conference in New York in November, 2007.

Stuart earned his B.A., with distinction in all subjects, from Cornell University and graduated from Cornell Law School in 1985.
