Biography:

A. Nicole Spooner is an associate in the Tax Department at Proskauer Rose LLP’s New York office, where she has a general practice in domestic and international tax planning for corporate and partnership transactions, including corporate acquisitions and reorganizations, private equity dealings, real estate transactions, and stock and debt offerings. Nicole advises not-for-profit clients on matters such as applying for and maintaining exemption from federal income tax, minimizing unrelated business taxable income, structuring joint ventures and partnerships with taxable entities, conducting permissible grant-making activities, and excise tax issues (for foundations).

Nicole is a member of the Tax Section of the American Bar Association and the New York State Bar Association and a member of the Bar Association of the City of New York. In 2007, she was recognized by the New York State Bar Association for her pro bono service, earning her the title of “Empire State Counsel.”

As an educational counselor for the Massachusetts Institute of Technology, Nicole interviews high school students who are interested in attending the Massachusetts Institute of Technology, and is a mentor to a law student in conjunction with the P.A.L.S. program.

Nicole received a B.S. from the Massachusetts Institute of Technology and graduated from Northeastern University School of Law, where she was a teaching assistant for the Legal Writing program and teaching facilitator for the Law Skills in Social Context program. After graduation from law school, Nicole clerked for Judge Robert E. Keeton (now deceased) of the U.S. District Court for the District of Massachusetts.
