Biography:

Ellen G. Czura is an associate in the Tax Department in the New York office of Proskauer Rose LLP. She specializes in the field of employee benefits and executive compensation law.

In the employee benefits area, Ellen has experience with the design, implementation, and operation of 401(k) plans, as well as health, severance and other welfare plans.

In the executive compensation area, Ellen has been involved with the negotiation and drafting of employment agreements, severance agreements, equity incentive plans and other compensation arrangements, including compliance with Section 409A. She also has knowledge of SEC disclosure requirements, including the new executive compensation proxy disclosure rules, and assists in drafting public filings.

In connection with corporate mergers and acquisitions, Ellen has experience with analyzing compensation benefits issues, drafting key benefit provisions and counseling clients on "golden parachute" tax issues.

Ellen received her J.D. from Vanderbilt University Law School in 2005 and her LL.M. in taxation from New York University School of Law in 2006. She received her B.A. in economics from Vanderbilt University in 2000.
