| Biography:
Fábio de A. Yamada is a senior attorney in Proskauer Rose LLP’s Latin American practice group based in our São Paulo office. Mr. Yamada’s practice focuses mainly on transactional and finance matters in Latin America, Brazil in particular . He has extensive experience in capital markets, banking, securitization and debt restructuring transactions. Mr. Yamada regularly represents financial institutions, lenders, issuers and borrowers. He has also represents acquirers and sellers in merger and acquisition transactions.
Prior to joining Proskauer Rose, Mr. Yamada worked as an international lawyer at Mayer, Brown, Rowe & Maw LLP. While in Brazil, he worked at the law firm of Machado, Meyer, Sendacz e Opice Advogados and at BankBoston Banco Múltiplo S.A. (currently Banco Itaú-BBA), Banco WestLb do Brasil S.A. and Banco NorChem S.A. (currently Banco J.P. Morgan S.A.). He has also worked on a secondment in the international legal department of Citibank Brazil. In addition, Mr. Yamada was an invited member of the Legal Committee of the Brazilian Association of International Banks.
Some of the transactions in which Mr. Yamada has participated include:
- Represented Cia. Hering in connection with its US$ 170 million equity offering. The joint bookrunners of this transaction were Santander Investment Securities, Inc. and Itaú Securities Inc.
- Represented the Votorantim Group in a tender offer for US$ 300 million in senior notes issued by an offshore subsidiary, with JPMorgan acting as dealer manager.
- Represented Queluz Securities LLP as arranger and dealer of (i) a U.S.$100 million guaranteed medium term note program for Paraná Banco S.A., and (ii) a U.S.$100 million guaranteed medium term note program for Independência Alimentos Ltda.
- Represented The Bank of Tokyo-Mitsubishi in connection with a US$ 300 million Credit Agreement with one of the largest world mining companies.
- Represented Santander Investment Securities, Inc., in connection with the issuance of US$ 60 million 3.5% Secured Notes by LPG International.
- Represented Merrill Lynch, as the lead underwriter, in connection with the issuance of US$ 500 million subordinated (tier II) notes by Banco Bradesco S.A.
- Represented HSBC Bank plc in connection with the purchase of Banco Lloyds S.A. and certain rights and obligations of Lloyds TSB Bank plc.
- Represented BNP Paribas, as the leader underwriter, in the US$ 142 million Export Securitization of Companhia Siderúrgica Nacional.
- Represented Banco JP Morgan S.A. in connection with the sale of its asset management unit, with a portfolio of R$ 7 billion, to Banco Bradesco S.A.
- Represented Banco do Brasil S.A. in connection with the issuance of its US$ 300 million Series 2001-1 Nikkei Remittance Trust 7.875% Trust Certificates, the first securitization of exchange receivables made by a Brazilian financial institution.
- Represented Telefonica de España in connection with the acquisition and take over process of Telesp Participações S.A., Tele Sudeste Celular Participações S.A. and Tele Norte Leste Celular Participações S.A.
Mr. Yamada received his law degree in 1997 from Pontifícia Universidade Católica de São Paulo and a masters degree in international law in 2005 from the University of Pennsylvania Law School.
In its 2005 edition, the legal publication IFLR 1000 – The Guide to the World’s Financial Law Firms honored Mr. Yamada by including him as one of the most prominent associates of Machado, Meyer, Sendacz e Opice Advogados, which was then named the Brazilian leading firm in banking and capital markets.
