| Biography:
Andrew Kurzon is a senior associate in the Firm’s Corporate Department and a member of its Private Investment Funds Group. Mr. Kurzon has a general corporate practice with a particular emphasis on representing U.S. and non-U.S. sponsors in private equity fund formations, investments, and regulatory, compliance and operational issues. Mr. Kurzon is actively involved in all stages of fund formation and fund sponsor representation, counseling on terms, drafting partnership and general partner documents, negotiating with investors and providing advice on internal general partner and management company matters. Mr. Kurzon’s fund clients range from newly formed funds to a number of leading groups in the private equity industry. In addition, he routinely represents numerous institutional investors in review and negotiation of investments in venture capital, life sciences, buyout, infrastructure, fund-of-funds, non-traditional funds and other private investment funds, secondary transactions and co-investments.
Prior to joining Proskauer Rose, Mr. Kurzon spent five years practicing at Testa, Hurwitz & Thibeault, where he also focused on various areas of corporate practice such as representing operating companies (public and private), private equity and venture capital funds in their portfolio company investments (including preferred stock and convertible debt financings, corporate governance, and compliance) and various M&A transactions.
Mr. Kurzon received his B.A. from Boston College in 1997 and his J.D. from Boston
College Law School in 2000.
Mr. Kurzon is admitted to the Bar in Massachusetts (Jan. 2001).
