| Biography:
Sean J. Hill is a partner in the firm’s Corporate Department and a member of its Private Investment Funds Group. Sean has a general corporate practice with a particular emphasis on representing U.S. and non-U.S. sponsors in private equity fund formations, investments, regulatory, compliance and operational issues, including management company restructurings and spin-outs. He also represents institutional investors in review and negotiation of investments in private equity and hedge funds.
In addition, Sean represents venture capital and private equity funds in their portfolio investments, and transactions, including venture financings, secondary transactions and acquisitions. He has advised clients in numerous highly structured and complex secondary transactions, formed alternative investment vehicles for transactions and worked with sponsors in structuring (or re-structuring) their management companies, including in relation to third-party investments in there.
A few of his recent projects include:
• Represents Ares Management in the formation of middle market buyout, distressed securities, leveraged credit and special situation funds as well as operational compliance and transactional matters.
• Represents The Rockefeller Foundation in review and negotiation of private equity and hedge fund investments.
• Represents Commonfund Capital in its fund of funds program (natural resources, US buyout, global venture capital and global (ex-U.S.) private capital fund of funds) and related matters.
• Represents Lexington Partners in the formation and operation of secondaries funds, investments, secondary transactions, and general regulatory and compliance matters.
• Represented Montauk TriGuard in its spin-out and in formation of new niche-oriented secondaries funds. Also advises Montauk TriGuard on transactional and operational matters.
• Represents Tennessee Valley Ventures, a regionally focused buyout firm, in fund formation, operational and transactional matters.
• Represents Lux Capital Management, a venture firm focused on early stage investments in physical and life science companies, in fund formation, portfolio investment and operational matters.
• Other clients include: Bank of America Securities, Capital Dynamics, Intervale Capital, Meritage Funds, North Atlantic Capital, and New Leaf Venture Partners.
Sean received his B.S., with honors, from Rutgers University, Cook College in 1994, and his J.D. from Boston College Law School in 1997.
He is admitted to the bar in U.S. District Court, District of New Jersey (1997); New Jersey (1997), New York (1998) and Massachusetts (2001).
Sean was selected as a "Massachusetts Super Lawyers Rising Star" in 2005, 2006, and 2007 in Boston Magazine. He was also recognized as an up and coming lawyer in Chambers USA in 2008.
