Biography:

Mary B. Kuusisto is a partner in the Tax Department of Proskauer Rose and is also a member of the Firm’s Private Investment Funds Group. She currently splits her time between Proskauer Rose’s London and Boston offices.

She concentrates on tax planning for and structuring of domestic and offshore venture capital, buyout and other private equity financing partnerships, as well as advising those partnerships on operational issues and global investments in tax-transparent and corporate portfolio companies. She also advises investment fund managers and general partner with respects to tax planning, compensation arrangements and economic structures. Further, Ms. Kuusisto advises many types of investors, especially tax-exempt and non-US institutions, on their investments in US and non-US private equity partnerships. Ms. Kuusisto has represented hundreds of private equity partnerships in their formation and operational activities.

Ms. Kuusisto currently represents the National Venture Capital Association in connection with their tax legislative agenda and lobbying activities, most notably with respect to Congress’s recent carried interest tax proposals. She has also served as co-chair of a number of subcommittees of the American Bar Association Tax Section’s Committee on US Activities of Foreign Taxpayers and Tax Treaties through which she has participated in drafting public comments on proposed tax regulations and legislation that affect the international private equity community.

Ms. Kuusisto also speaks at numerous conferences that serve the private equity community, focusing on economic and strategic private equity fund issues such as trends in terms in the private equity industry, carried interest mechanisms, distribution and allocation methodologies, clawback and management fee strategies, and tax and regulatory updates. For several years she has co-chaired a well-known private equity tax conference, Private Equity Tax Practices, sponsored by the Institute for International Research in Boston. She also contributes to a number of private equity publications, authoring articles on similar topics and was recognized by Chambers USA: America’s Leading Lawyers for Business in 2007 and 2008 and selected as a Massachusetts Super Lawyer in 2006 and US Legal 500 in 2007 and in 2009 was named one of The Best Lawyers in America.

Ms. Kuusisto received her B.S., highest honors, from the University of Florida in 1986 and her J.D., , from Boston University in 1993. She was registered as a certified public accountant in Massachusetts in 1990 and worked for several years as an auditor and tax accountant with two international public accounting firms.

Ms. Kuusisto was admitted to the bar in Massachusetts in 1993 and is a member of the American and Boston Bar Associations.
