| Biography:
Frank Lopez is a partner in the Firm's Corporate Department. Mr. Lopez's practice includes corporate finance, mergers and acquisitions and general securities and corporate matters covering a broad array of industries. His primary focus is on capital markets transactions, whereby he represents investment banks and issuers in public and private securities offerings, often in the context of domestic and foreign leveraged buyouts, refinancings and restructurings. Since joining the Firm, Mr. Lopez has been instrumental in the Firm’s development of its Capital Markets practice, with a particular focus on high-yield and Rule 144A offerings. Mr. Lopez has represented various underwriters, initial purchasers, dealer managers and placement agents, including Citigroup, Credit Suisse, Jefferies & Company, JMP, Merrill Lynch and UBS.
Mr. Lopez’s representative transactions and practice includes:
- 144A, Regulation S and Regulation D debt and equity offerings, including offerings by Altra Industrial Motion, AmeriCast Technologies, Aveta, Banco de Credito del Peru, Blaze Recycling & Metals, ENSeC Home Financing, Ferro Corporation, General Nutrition Centers (GNC), Golfsmith, Hockey Company, Mrs. Fields, MSX International, ProtoStar I Ltd, Pulte Homes, Rafaella Apparel Group, SEMCO Energy, Sensus Metering Systems, Sweetheart Cup Company and Telex Communications.
- Initial public offerings, including Global Consumer Acquisition Corp., Intellon Corp., Advanced Technologies Acquisition Corp. and India Hospitality Corp.
- The representation of Citigroup as underwriter of the municipal bond offering by the New York Industrial Development Agency in connection with the development and construction of the new Mets' stadium.
- The representation of hedge fund clients in a broad range of transactional and corporate advice.
- Consent solicitations and tender and exchange offers.
- Debt restructurings, including the representation of the bondholder committee in connection with the debt restructuring of Mastellone Hermanos.
Mr. Lopez serves on the Corporation Law Committee of the New York City Bar. He is a graduate of Georgetown University Law School and the University of Florida where he graduated with Highest Honors in Business Administration.
