Biography:

Andrew Kleiman is an associate in the Corporate Department of Proskauer Rose’s New York office. His practice includes mergers and acquisitions, corporate finance, securities and general corporate matters covering a broad array of industries.

Examples of Andrew’s recent transactions include the representation of:

  • Votorantim Metais Ltda. in its $295 million acquisition of certain subsidiaries of Aleris Inc. comprising Aleris's zinc dust and zinc recycling business
  • UBCI in its $1.5 billion sale of Banco Cuscatlán to Citigroup
  • Take-Two Interactive in the sale of certain assets comprising its "Joytech" video game accessory business to Mad-Catz Interactive, Inc. (purchase price was approx $3 million)
  • Jefferies in the $105 million 144A/Regulation S/Regulation D debt offering of Pegasus Solutions, Inc.
  • CRT Capital Group LLC in the equity offering of Synthesis Energy Systems, Inc.

Before joining the Corporate Department, Andrew was an associate in the firm’s Tax Department, where he advised clients on various issues of federal and state income taxation arising from corporate acquisitions and reorganizations, real estate transactions, stock and debt offerings and financial instruments.

Andrew received his B.S. from the John M. Olin School of Business at Washington University in St. Louis, and earned his J.D. from the University of Southern California Law School. He is a member of the American Bar Association and the New York Bar.

A native Spanish speaker, Andrew was born and lived in Guatemala until emigrating to the United States in 1992.
