| Biography:
Steven H. Holinstat is an associate in the Litigation and Dispute Resolution
Department and is resident in Proskauer's New York office.
Steve's practice has focused largely on complex commercial litigation. His litigation
experience covers a wide range of commercial disputes, including general contract
and fraud disputes, employment disputes, real estate litigation, securities
fraud actions, insurance coverage disputes, business tort claims, fiduciary
duty claims, actions concerning close corporations, copyright actions, trust
and estate litigation, bankruptcy litigation and false advertising claims.
A few of the significant matters Steve has handled include his successful representation
of an exclusive agent of a generic pharmaceuticals producer in a Canadian arbitration
over the parties' respective obligations under an agency agreement to export
generic pharmaceuticals to the Middle East, which resulted in a broader and
more enforceable agency agreement. Steve also represented a New York executor
in a complex accounting action commenced by a dissatisfied heir 30 years after
the decedent's death, and was able to negotiate a settlement resulting in a
significant tax savings to the executor that covered all litigation and settlement
costs and resulted in a significant tax windfall for the executor and the decedent's
other beneficiaries. Steve also represented a former executive of a subsidiary
of a large music company conglomerate in connection with a dispute over his
employment agreement with the German parent company. Steve also represented
an international food broker in an action against a former key employee who
secretly diverted millions of dollars of business prior to his resignation.
We were able to recover the diverted proceeds and obtain a court order restraining
the employee from continuing to violate the restrictive covenants in his employment
agreement. Steve has represented a Florida estate in its efforts to liquidate
millions of dollars of real estate holdings that had been tied up for decades
in various unprofitable, family-run ventures. In connection therewith, Steve
was instrumental in developing a strategy for having a closely held corporation
disposed of in a cash-out merger by the Bankruptcy Court where the debtor only
owned a 5% stock interest in the company. Steve also represented a freight forwarded
in an international arbitration in connection with a claim that his U.S. partner
defrauded him and various governments through a phony invoicing scam, and we
were able to recover a $21 million verdict for the client.
Steve graduated cum laude from Fordham University School of Law in 1996 and
graduated cum laude from the University of Michigan with a B.A. in economics
in 1993.
Steve is admitted to practice in the New York and Connecticut state courts as
well as the following federal courts: the United States District Courts for
the Southern and Eastern District of New York and the Court of Appeals for the
Second and Fourth Circuits. Steve also has participated in arbitrations before
the American Arbitration Association and the International Chamber of Commerce.
In addition, Steve has litigated disputes before the National Advertising Division.
