| Biography:
David J. Weinberger, co-chair of the Real Estate Department, has represented
real estate lenders, investors and owners in connection with financings, acquisitions,
sales and public offerings of equity and debt. David has developed special expertise
in the origination and securitization of complex mortgage loans.
David regularly represents investment banking clients such as Merrill Lynch,
Wachovia Bank and Morgan Stanley with respect to the origination of mortgage
loans which are to be securitized in the CMBS markets. These loans, which involve
properties across the United States, often include preferred equity, mezzanine
or participation components. David also has extensive experience in the structuring
of "A/B" and "A/B/C" loans. David has been involved in the origination of numerous
large loans which were securitized in single-borrower transactions, as well
as hundreds of conduit loans. He often represents clients in connection with
the origination of revolving and term credit facilities.
David has assisted clients in developing propriety loan structures for commercial
loans which are originated for securitization. His constant interaction with
the rating agencies and "B-piece" buyers has enabled him to develop special
insight as to the requirements of the securitization marketplace.
David also has special expertise in REIT transactions. He has been involved
in over fifteen initial public offerings relating to REITs and has represented
REITs in both the acquisition and disposition of numerous properties and portfolios. He has also been involved in numerous workouts of problem mortgages and mezzanine loans.
David has been selected for inclusion in Chambers USA: America's Leading Lawyers for Business in 2006, 2007 and 2008, and the US Legal 500.
David joined the Real Estate department at Proskauer in August 2002 after spending
thirteen years at Brown & Wood LLP (now Sidley Austin Brown & Wood LLP) and,
prior to that, two years at Thacher Proffitt & Wood. He is a 1983 graduate
of the University of Michigan and a 1986 graduate of the Boston University School
of Law where he served as editor of the Probate Law Journal.
