| Biography:
Ronald Kornreich is a partner in the Corporate Department of Proskauer Rose LLP. Ron has a broad-based corporate practice, representing both publicly and privately held companies in domestic and international transactions, including mergers and acquisitions and joint ventures. He regularly advises clients on day-to-day legal, strategic and business issues, including internal restructurings, licensing matters and employment and consulting arrangements, as well as the full range of other general corporate activities. He has represented both domestic and foreign clients engaged in a variety of businesses, including manufacturing, distribution, telecommunications, retail, hospitality, entertainment and sports. Ron has advised clients and performed transactional work in a wide variety of international markets, including western and eastern Europe and Asia.
Ron is also a member of the Firm’s Lodging and Gaming Practice Group. In this role, he handles many types of matters in the hospitality industry, including hotel management, licensing, franchising, development, construction, leasing, acquisitions and sales. Ron has extensive experience negotiating hotel management and related agreements, and has worked on projects involving Starwood Hotels & Resorts, Marriott and Ritz-Carlton, Kimpton Hotels, Caesars/Harrah’s, InterContinental, Wyndham, Capella Hotels & Resorts, Shangri-La and many other hotel operators.
Ron’s recent lodging and gaming transactions include representing: Baha Mar Development Company in connection with a joint venture with Harrah’s to develop in Cable Beach, Nassau, Bahamas the Caribbean’s largest single-phase destination resort, which is expected to include, among other facilities and amenities, Westin, St. Regis and W hotels operated by Starwood and a Caesars Palace hotel and casino operated by Harrah’s; RAL Companies & Affiliates LLC in connection with the development of a Capella-branded luxury hotel in Telluride, Colorado along with a residential condominium; DLJ Real Estate Capital Partners and J.D. Carlisle Development Corp. in connection with a Kimpton hotel in the Chelsea area of New York City along with residential, retail and restaurant and bar components; and Moinian Group in connection with the development of a W-branded hotel in downtown New York City along with a residential condominium.
Ron’s recent M&A transactions include representing The Laird Group PLC in the sale of its building products division and representing Price Communications Corporation in the exchange of a preferred limited partnership interest in a partnership controlled by Verizon Wireless for shares of Verizon Communications Inc. stock.
Ron is a cum laude graduate of Fordham University School of Law and received his bachelors of science from Cornell University.
