Biography:

Julie Allen, a partner in our Corporate Department, is the co-Chair of our Capital Markets Group. She is a general corporate and securities lawyer. While she has broad-based experience in corporate finance and mergers and acquisitions, her practice focuses on public and private securities offerings, venture capital and private equity, and the general representation of private and public companies, combining cutting-edge knowledge of dynamic industries with experience in financing and regulatory issues.

Julie represents both underwriters and issuers in initial public offerings and follow-on equity offerings in a variety of industries. Her experience also includes Rule 144A debt offerings, both as counsel to issuers and to initial purchasers.

Julie's practice also includes mergers and acquisitions, particularly involving public companies. She represents buyers, sellers and financial advisors in mergers, acquisitions, recapitalizations and tender offers.

Julie also represents companies and venture capital and private equity funds in connection with equity investments in private companies. She works with private companies at all stages of development, from start-up to late-stage, in a variety of industries. She counsels clients on a wide range of matters, including formation and financing, intellectual property, employment and compensation, and arrangements with business partners. Her industry and finance expertise enable her to add value to clients in all aspects of their businesses. She also has extensive experience counseling public companies and their affiliates regarding Sarbanes-Oxley, disclosure, governance and other securities law and compliance issues.

Julie is a 1983 graduate of the Columbia Law School, where she was a Harlan Fiske Stone scholar, and a 1979 magna cum laude graduate of Boston University. She is listed in Chambers USA 2008, the Best Lawyers in America, New York Super Lawyers and US Legal 500. She currently serves on the Securities Regulation Committee of the Association of the Bar of the City of New York and the TriBar Opinion Committee. She also serves as the Chair of our Firm's Hiring Committee, Corporate Department Opinion Committee and Audit Letter Committee.
