| Biography:
Marcy is a senior associate in the Health Care Department of the Firm's Boca
Raton, Florida office. Marcy's prior career in health care finance provides
her with insight into the business challenges confronting her clients. Her practice
includes structuring, negotiating, and performing health care regulatory analysis
for corporate transactions such as stock or asset purchases, mergers, restructurings
and joint venture arrangements. She drafts and negotiates managed care contracts,
including third-party administrator agreements, pharmacy benefit agreements,
provider agreements, and group insurance agreements on behalf of managed care
entities, self-insured funds and employers. She also drafts and negotiates facility
and equipment leases, professional services agreements and other contractual
arrangements on behalf of health care provider clients, and assists these clients
with licensing and reimbursement issues.
Prior to joining Proskauer, Marcy was an associate in the health care department
of the Miami headquarters of Greenberg Traurig, LLP. At Greenberg, Marcy's
practice included corporate transactions for physician practice management companies,
the development of provider networks and the negotiation of managed care contracts.
Marcy previously served as the law clerk to the Honorable Shelby Highsmith,
United States District Judge for the Southern District of Florida. Prior to
relocating to Florida, Marcy had been an associate at Cadwalader, Wickersham
and Taft in New York.
Before commencing her legal career, Marcy was a commercial banker specializing
in the health care industry. At National Westminster Bank USA in New York City,
Marcy managed a $100 million commercial loan portfolio comprised solely of companies
in the health care industry, including acute care and specialty hospitals, nursing
home chains and health care industry suppliers. In that capacity, she organized
and led multi-bank transactions, performed credit analyses, prepared credit
proposals and evaluated loan structure viability.
Marcy received her B.A. from the University of Pennsylvania. She received her
J.D., cum laude, from Benjamin N. Cardozo School of Law, where she was an editor
of the Cardozo Law Review and received the Outstanding Law Graduate Award from
the National Association of Women Lawyers.
