| Biography:
Allan Williams joined the Firm as a partner in the Corporate Department in
1994 after spending over 18 years at another major New York City law firm. His
practice is concentrated in corporate and securities law and mergers and acquisitions.
Allan has represented both the acquiring and acquired parties in mergers; buyers and targets in both friendly and hostile tender offers; issuers in tender offers for their own shares; buyers and acquired entities in leveraged buyouts, management buyouts, and other purchases and sales of corporations, divisions, and subsidiaries.
Allan has also been involved in many public offerings. His experience includes
offerings of debt, convertible debt, common stock and preferred stock ranging
in size up to $1 billion. He was recognized in the 2007 edition of US Legal 500 for his work in Capital Markets.
Allan has experience in Rule 144A and Regulation S offerings as well as Regulation
D private placements. The matters in which he has been involved range from small
transactions for start-up or privately held companies to large transactions
for publicly traded companies.
The clients Allan has served include The Pepsi Bottling Group, Inc.; Quest
Communications International, Inc.; The Equitable Life Assurance Society of
the United States; National Broadcasting Company, Inc.; CDP Capital;
Club Med, Inc.; Island Capital Group LLC; and Cellu-Tissue Holdings, Inc.
Allan received his B.S. from the University of Illinois in aeronautical engineering
and received his J.D. from Columbia Law School. Allan also has an M.B.A. from
Columbia Business School.
