Biography:

Henry joined Proskauer Rose LLP's Corporate Department in 1994 after serving as a partner in the corporate department of another major New York City law firm for approximately 17 years.

Henry has represented underwriters, placement agents, venture capitalists, and issuers; and has negotiated and drafted letters of intent, underwriting agreements, registration statements, preferred stock provisions, indentures, warrant agreements, registration rights agreements, purchase agreements, subscription agreements, and other related documents. He is familiar with all aspects of initiating, structuring, conducting, and closing a public offering or private placement of securities.

When representing purchasers and sellers, Henry has negotiated letters of intent, merger agreements, purchase agreements, registration statements, proxy statements, and other related documents in connection with stock and asset acquisitions and dispositions, both public and private.

Henry has also represented issuers and has draft ed all types of documents required to be filed under the Securities Exchange Act of 1934 or circulated to stockholders, including periodic reports, annual reports to stockholders, and proxy statements.

When representing companies and employees, Henry has negotiated and drafted employment, confidentiality, license, joint venture, sharehold ers' and voting agreements, and stock option and incentive plans and agreements, among others.

Henry has represented a wide variety of clients in connection with the foregoing; including broker-dealers and investment bankers, venture capitalists, insurance and reinsurance companies, investment advisers, mortgage servicing companies, research and development companies, biotechnology companies, retailers, conglomerates, and manufacturers of consumer and industrial products. These companies have ranged from start-up companies to companies with billions of dollars in revenues.
