Biography:

Delia Spitzer, a partner of the Firm and a member of the Corporate Department, is admitted to the New York and Paris Bars, and for almost 15 years has been resident in Proskauer's Paris office. Before that, she spent several years in our New York office. Delia had previously practiced in France for two years. Born in Buenos Aires, Argentina, she is a dual French-American citizen, fluent in English, French and Spanish. The major focus of her practice is international business transactions, where she brings into play not only her legal skills, but also her international cultural and legal background. In the context of her transactional work, Delia advises French and other European clients on issues of United States and international law, and U.S. clients on the legal aspects of their investments in France, drawing from her extensive experience in a broad range of corporate matters.

For example, Delia represented Apogee Inc., a publicly held U.S. construction company, in connection with the winding down of its operations in Europe. She was also involved with BCEL, a media fund created by Baring Venture Partners and Communications Equity Associates, in its investment in the French professional press. In addition, Delia advised Seita, the French tobacco company, in its tender offer for Consolidated Cigar, the leading U.S. cigar manufacturer, and in the disposition of a Brazilian subsidiary, and in the U.S. securities aspects of its merger with Tabacalera, the Spanish tobacco company.

More recently, Delia advised GMT, another fund in which Baring Venture Partners participates, in investments in the telecommunications and the specialized press areas, and Asat, a Hong Kong-based, NASDAQ-traded company in the semiconductor industry, in the disinvestment of its French interests. Further, she assisted Pitney Bowes, a leader in the field of postage meter machines and other mailing solutions, in its acquisition of several businesses in France. In addition, Delia regularly represents Colgate-Palmolive Company in certain acquisitions and divestitures by CPC’s French subsidiary and on a variety of corporate matters.

Recently Delia advised Microsoft Corporation in the acquisition of MotionBridge, a French company. Delia acted as counsel in several U.S. acquisitions by Hutchinson, a subsidiary of the French oil company Total. In addition, Delia has also handled numerous joint ventures, financing arrangements and licensing and distribution agreements, and various projects in Latin America.

Another aspect of Delia's practice involves securities transactions in the United States, often in the context of a worldwide offering, such as global offerings of shares of Total. Delia also has experience in advising non-U.S. companies listed in a U.S. stock exchange with respect to their ongoing reporting obligations.

Delia regularly assists her clients in determining strategy concerning disputes before French courts, in coordination with French litigators. Further, Delia has experience in the area of French bankruptcy law, and particularly of shareholder liability in that context.

Delia served as Managing Partner of Proskauer's Paris office for several years. Prior to joining Proskauer, Delia practiced law in New York and Paris with the firm of Sullivan & Cromwell. She graduated from the Catholic University of Cordoba (Argentina) and Columbia Law School, where she was an editor of the Columbia Journal of Transnational Law, a Harlan Fiske Stone Scholar, and a member of the International Fellows Program run by Columbia's School of International Affairs.
