| Biography:
As a member of Proskauer's Mergers & Acquisitions group, Ron brings to the table 30 years of experience counseling companies in strategic acquisitions, investments and divestitures in a diverse range of industries. Ron served for over five years as the chair of Proskauer’s Corporate practice and, before that, for three years as a member of the Firm’s Executive Committee.
His practice is concentrated on both U.S. and multi-jurisdictional transactions, involving public and private mergers and acquisitions, as well as joint ventures and other business combinations and many types of related commercial agreements.
Ron's industry focus includes:
Specialty chemicals, energy and other manufacturing industries, primarily for U.S., French and other European companies. Ron helps companies achieve their strategic objectives in accomplishing complex international M&A transactions involving shared site arrangements, distribution and supply, transition services, tolling, licensing and technology transfer.
Telecommunications equipment, business equipment and processes. For public and private companies Ron guides clients through acquisitions, strategic investments, divestitures and restructurings, in transactions in which the core assets are often proprietary technologies and processes.
Technology and the Internet. Ron represents high technology, new media and internet companies, in internet advertising and other businesses, in all aspects of their business cycles, from initial public offering through strategic growth and exit.
Financial, consulting and other service industries. Ron handles buyouts, strategic alliances and other transactions, often involving earn-outs and other payment formulas, in industries in which personnel and human capital are the essence of the transaction.
Representative transactions on which Ron played a lead role include:
the divestiture by Alcatel-Lucent of its Optronics business to Avanex, in a three-party transaction with Corning
the acquisition by Total, the French oil and gas company, in the purchase by its chemicals unit, Cray Valley, of the Wingtack business from Goodyear
the acquisition by Pitney Bowes of MapInfo Corporation, a global provider of location intelligence tools and services, for $436 million in cash through a public tender offer
the sale of 24/7 Real Media, a global digital marketing company, to WPP Group plc, one of the world’s largest communications services groups, in a friendly cash tender offer valued at approximately $649 million
Ron has been named one of the leading attorneys in Mergers and Acquisitions by Chambers USA since 2006 and is listed in The Best Lawyers in America. He holds degrees in mathematics and physics from Rensselaer Polytechnic Institute and is a cum laude graduate of Cornell Law School.
