| Biography:
Ron is chair of Proskauer Rose LLP's Corporate Department and a member of our Mergers & Acquisitions group. His practice is concentrated primarily on domestic and international transactions, mergers & acquisitions, securities offerings, joint ventures and other business combinations. For foreign and domestic and public and private clients, he handles various transactions, including acquisitions and divestitures, public and private offerings, as well as acting as outside general counsel on matters ranging from strategy and risk management, to distribution and other commercial agreements.
Ron's practice in recent years has focused on domestic and international transactions in telecommunications, office technology and services, oil and gas, wire and cable, chemicals, pharmaceuticals, Internet, and other industries.
Ron represented Alcatel-Lucent, a major French telecommunications company, in its acquisitions of Spatial Technologies, Native Networks and eDial, as well as its divestiture of its Optronics business to Avanex, in a 3-party transaction with Corning. He also handled Alcatel-Lucent’s investment in General Bandwidth, its acquisition of Telera, its investment in 360 networks and its acquisition of Xylan.
Ron represented Total, the French oil and gas company, in the purchase by its chemicals unit, Cray Valley, of the Wingtack business from Goodyear. He previously handled Total’s acquisition of interests in gas pipelines in South America from TransCanada, in the sale of its worldwide coatings business to Sun Chemical, in the sale of its U.S. upstream business to Westport and Energen, and of its U.S. downstream business to Ultramar Diamond Shamrock. He handled a $250 million offering of money market preferred stock by Total America. Ron earlier represented Total in its initial United States public offering and represented Total and the Republic of France in the French State's subsequent secondary offering of Total's shares.
Ron represented Pitney Bowes in its acquisitions of MapInfo Corporation, Advertising Audit Service, Imagitas, DDD Company, Johnson & Hayward, International Mail Exchange and certain assets from Standard Register. He has handled a variety of transactions for Towers Perrin, Axens SA and The Alpine Group, including Alpine’s recent sale of its Essex Electric business to Southwire and its investment in Wolverine Tube. Ron also represented 24/7 Real Media from its inception to its follow-on public offering, acquisition of Real Media Korea and its recent acquisition by WPP Group.
In 2006, 2007 and 2008, Ron was named one of the leading attorneys in Mergers and Acquisitions by Chambers USA, and listed in The Best Lawyers in America and the US Legal 500. He is also a former member of the Firm’s Executive Committee. He holds degrees in mathematics and physics from Rensselaer Polytechnic Institute. He is a cum laude graduate of Cornell Law School.
