| Biography:
Having spent her entire legal career at Proskauer Rose, Lauren has a general corporate practice with extensive experience in mergers and acquisitions involving both public and private companies; investments and buyouts and related financings for private equity firms; SEC advisory and compliance work; and advisory services for investment banks.
Representing Alcatel-Lucent, a French telecommunications equipment manufacturer, since 1999, Lauren has completed more than ten acquisitions, both public and private, in the US, Canada and the UK. As a result of her representation of such large, multinational corporations, Lauren has developed an expertise in counseling foreign private issuers in compliance with SEC and stock exchange regulations.
Lauren’s principal private equity client is Charterhouse Group, Inc., a leading private equity group based in New York, including many of its portfolio companies. She has been involved in most aspects of their businesses, including investments, portfolio management, private financing, exits, and roll-up transactions. Her experience with Charterhouse and its portfolio companies has touched upon many industries, including paper, wellness, facilities management, health care and staffing.
In addition to Alcatel-Lucent and Charterhouse, Lauren’s clients also include Deutsche Bank Securities, Sterlite Industries (India) Limited, Yonkers Raceway, and Finlay Fine Jewelry, among others.
Lauren previously served as a member of the Securities Regulation Committee of the Association of the Bar of the City of New York and currently serves as a member of the Financial Reporting Committee.
Lauren graduated in 1992 from the University of Chicago Law School. She received an A.B., magna cum laude, from Wellesley College in 1989.
