Biography:

Arnold Levine recently elected Optional Service Partner status. He previously served as a member of the Firm's Executive Committee for a period of nine years and as co-Chair of Proskauer Rose LLP's Corporate Department.

Until recently, he coordinated the Firm's efforts in the area of Corporate Governance and served as Chairman of the Corporate Governance Subcommittee of the Corporation Law Committee of the Association of the Bar of the City of New York.

For many years, he has been in charge of the Firm's extensive activities in the field of partnership law, joint ventures, limited liability companies, private placements and syndications. In this connection, he heads up the corporate side of an interdepartmental team that has successfully completed over 500 syndications in transactions which have raised over $3 billion from investors.

Arnold also is active in representing Corinthian Equity Fund, L.P. in its fund formation and in connection with acquisitions and dispositions as well as matters arising from operations of the fund and portfolio companies.

He was the founder of the Firm's iPractice Group, which focused on companies in Internet-related businesses and related technologies. The iPractice Group incorporated expertise in corporate, securities, tax, executive compensation and counseling and litigation with respect to intellectual property rights and represents companies in the organizational stage, in structuring and negotiation of venture capital and other equity and debt placements, mergers and acquisitions; as well as on-line advertising, sponsorship, technology, licensing, co-branding training and other operational matters.

Arnold has served as outside counsel for mid-size public and private companies, in areas of mergers, acquisitions, corporate finance, joint ventures, technology licensing, know-how arrangements, shareholders and employment agreements and the full range of general corporate activities.

Arnold has recently completed a term as Chairman of the Corporation Law Committee of the New York Bar. His bar association activities have included past or current membership in the following committees which are related to his practice areas: American Bar Association-Section on Corporation, Banking and Business Law, Committee on Federal Regulation of Securities; the Association of the Bar of the City of New York-Uniform Laws Committee; Securities Law Committee; Quality of Life Committee and New York Lawyer's Association-Corporate Law Committee. Arnold has lectured for over a decade in the areas of partnership law and private placements for the Practising Law Institute and recently in the assisted living field. He has also lectured in the area of representing Internet companies and in the areas of corporate governance, private equity funds, and M&A transactions by such funds.

Arnold was graduated from Cornell University and received his LLB from Columbia Law School, where he was an editor of the Columbia Law Review. He has served as a trustee of the UJA - Federation of New York and as a director of the Mid-Westchester YM-YWHA, the Karen Horney Institute and the Henry Kaufman Foundation.
