| Biography:
James D. Meade is a partner in the Corporate Department. He has a general corporate practice with particular emphasis on all aspects of mergers and acquisitions and extensive experience in private equity matters, international transactions and corporate and real estate finance.
James' principal client is Charterhouse Group International, Inc., a leading private equity group based in New York, including its portfolio companies. He has been involved in all aspects of their businesses, including fund-raising, investments, portfolio management, private and public financing, exits, and roll-up transactions. His work with Charterhouse and its portfolio companies has led him to a wide array of industries, from wireless communications to classic toy brands, specialty papers to accounts receivable management services, and Internet- based solution providers to health care staffing.
James is also a member of the Firm's Lodging and Gaming Practice Group and has worked closely with the Firm's Real Estate and Tax Departments. He has been involved in virtually every aspect of the hospitality industry, such as management arrangements, sales and acquisitions of individual hotel properties, hotel chains and hotel management companies, complex tax structuring, debt restructuring and bankruptcy. He has also been responsible for some of the Firm's largest and most complex deals, such as the sale of a controlling interest in hundreds of properties located throughout the U.S. and valued at over $5 billion.
James also has extensive experience in corporate investigations. He headed up a team of lawyers from Proskauer’s corporate, bankruptcy, litigation, real estate and tax departments to represent Perry M. Mandarino, an examiner appointed by the United States Bankruptcy Court for the District of Delaware in Polaroid’s highly publicized bankruptcy proceedings. James and the rest of the Proskauer team assisted Mr. Mandarino in his investigation of allegations made by certain shareholders and former employees of Polaroid that Polaroid’s accounting methods and accounting practices materially undervalued its assets and/or resulted in an inappropriate liquidation of its assets.
Aside from Charterhouse and its portfolio companies, James has also worked with Apollo, Merrill Lynch Global Private Equity, Colony Capital, One Equity Partners, Meridien, Accor/Motel 6, Club Med, The Pivotal Group, Swissôtel, Blackwell's, Barings, Total/Elf, Kapson Senior Quarters, Deutsche Bank, Silver & Baryte Ores Mining, Havas S.A., Farmland Dairies, GVA Williams, and Realty Holdings of America, among others.
James has lived much of his life in Paris, France, attended public school at Radley College in England, earned B.A. and M.A. degrees from Oxford University (Madgalen College), and attended law school at the University of Virginia. He has been at the Firm for his entire career. James now lives in New York City with his wife (a children's book author) and his two daughters.
