| Biography:
Klaus Eppler has a national reputation as a preeminent corporate and securities
lawyer. He is a leading member of Proskauer Rose LLP's Corporate Department
and has been practicing at Proskauer for 49 years. A widely published author,
Klaus has chaired many forums dealing with the federal securities laws. He also
has served as a panelist or speaker on continuing legal education programs in
various business law fields.
Klaus Eppler is also a well-known leader of the New York Bar. He is a Past
President of the New York County Lawyers' Association, one of the largest county
bar associations in the country. He chaired the Indigent Defense Organization
Oversight Committee appointed by the Appellate Division First Department, and
then the Committee on Representation of the Poor, also appointed by the Appellate
Division First Department. Mr. Eppler currently serves on the Commission on
the Future of Criminal Indigent Defense Services appointed by the Chief Judge
of the Court of Appeals. He is a member of the House of Delegates of the New
York State Bar Association and is a former member of the House of Delegates
of the American Bar Association. For many years he served on Proskauer's Executive
Committee and is a former Co-Chair of the Firm's Corporate Department.
Mr. Eppler has built a large corporate practice, serving today as counsellor
to a number of businesses. Many of his clients are in the retail industry. He
structures and negotiates transactions, and deals with mixed legal and business
matters such as executive compensation and disclosure issues. He is a director
of several public and privately held companies. Many of Mr. Eppler's clients
have looked to him for guidance for several decades. He has been listed in The
Best Lawyers in America for over 20 years.
Klaus Eppler has been very active in the defense of companies against hostile
takeovers, typically representing the board, a special committee, or management
directors of target companies. He also has handled a number of major restructuring
transactions, including public exchange offers and debt workouts, as well as
pre-negotiated and other Chapter 11 proceedings. Over the years he has handled
a large number of securities offerings, including many successful IPO's, as
well as major mergers, acquisitions and sales of businesses.
Mr. Eppler has chaired or served on, or currently serves on, the securities
law committees of the New York County Lawyers' Association, The Association
of the Bar of the City of New York and the American Bar Association. He is co-author
of Going Public, Second Edition, Clark Boardman & Co. He has participated
in business law conferences in China, Australia and in Eastern Europe. For over
25 years, he annually chaired a highly successful Practising Law Institute forum
on "Preparation of Annual Disclosure Documents."
Klaus Eppler is a 1954 graduate of Yale Law School, where he was an Editor
of the Yale Law Journal. He also holds a Master of Law Degree from New York
University, and was valedictorian of his class at Union College.
